CoachGrid Terms of Service

1. What CoachGrid Is

CoachGrid is a digital fitness and coaching platform.

CoachGrid may provide tools for:

• Training
• Nutrition
• Workout logging
• Progress tracking
• Check-ins
• Coaching
• Messaging
• AI-assisted features
• Coach business management
• Gyms and fitness businesses
• Discovery and marketplace features
• Digital products and services
• Payments and purchased platform entitlements

CoachGrid is software infrastructure.

CoachGrid is not itself a physical gym.

2. Accounts

Users must:

• Provide reasonably accurate account information
• Protect their login credentials
• Use their own authorised account
• Promptly report suspected unauthorised access

Users are responsible for activity performed through their account except where the activity results from CoachGrid's failure to apply reasonable security controls.

You may not impersonate another person or use an account you are not authorised to use.

3. Personal, Coach and Business Contexts

A CoachGrid user may participate in different contexts, including:

• Personal / athlete
• Coach
• Gym or studio
• Merchant or fitness business
• Platform administration where specifically authorised

These contexts have different permissions.

Having an account does not automatically give a user access to another person's data or business workspace.

4. Coach-Client Relationships

A coach-client relationship must be intentionally established through CoachGrid's authorised relationship system.

A coach does not gain access to a person's private coaching information merely by knowing that person's name or email address.

Where a coach-client relationship exists, the coach may access information reasonably required to provide the coaching service.

5. Coaches and Other Third Parties

Coaches, gyms, merchants and other participants using CoachGrid may provide their own independent services.

Unless CoachGrid expressly states otherwise:

• The relevant coach or business is responsible for its own services
• CoachGrid does not employ every coach appearing on the platform
• CoachGrid does not guarantee the quality or outcome of third-party coaching
• CoachGrid does not automatically endorse every public profile or listing

A "Verified", "Partner", "Sponsored", "Member" or similar label may have a specific meaning defined by CoachGrid and should not be assumed to mean something beyond that definition.

6. Fitness, Nutrition and Health Information

CoachGrid provides software for fitness and coaching purposes.

Information provided through CoachGrid is not automatically medical advice.

CoachGrid does not replace:

• A physician
• Licensed healthcare provider
• Emergency medical services
• Other appropriately qualified professionals

Users remain responsible for deciding when professional medical advice is appropriate.

7. Artificial Intelligence

CoachGrid may provide clearly identified AI-assisted functionality.

AI may help with:

• Explanations
• Summaries
• Analysis
• Drafts
• Progress review
• Coaching support

AI can be incorrect or incomplete.

Users should not rely on AI output as guaranteed fact or professional medical advice.

AI coaches are identified as AI and are not presented as human professionals.

Where a human coach controls an official training or nutrition programme, AI does not automatically replace the human coach or silently rewrite the official programme.

8. User Content

Users retain ownership of content they submit to CoachGrid, subject to the rights necessary for CoachGrid to operate the service.

By submitting content, the user grants CoachGrid the limited rights necessary to:

• Store it
• Process it
• Display it to the user
• Transmit it to authorised recipients
• Use it to provide requested CoachGrid functionality

Users must have the necessary rights to content they upload.

Users may not upload content that:

• Violates applicable law
• Infringes intellectual-property rights
• Contains malicious code
• Is fraudulently presented as belonging to them
• Is intended to compromise the platform

9. Paid Services and Digital Products

CoachGrid may offer paid digital services or products.

Where a paid product is available, the checkout will display material commercial terms before payment, including where applicable:

• Product or service
• Price
• Currency
• Access duration
• Credits or entitlement
• Renewal model
• Relevant cancellation or refund information

Payment must be successfully verified before a paid entitlement is granted.

CoachGrid's current Cambodia Phase 1 commercial model uses one-time digital purchases and manual renewal for activated products unless the checkout expressly states otherwise.

If CoachGrid introduces recurring billing in the future, automatic renewal will only apply where it is clearly disclosed and accepted.

10. Live AI Credits

CoachGrid may sell credits used to access variable-cost Live AI functionality.

Unless otherwise stated at checkout:

• Credits are platform usage units
• Credits are not cash
• Credits are not stored monetary value
• Credits cannot be withdrawn
• Credits cannot be transferred between users
• Credits do not create interest
• Credits may be consumed when eligible Live AI services are used

Purchased credits do not automatically create a subscription.

Specific credit quantities and prices are shown at checkout.

11. Free Services

Certain CoachGrid functionality may be provided without payment.

The availability of free functionality may change as CoachGrid evolves, but CoachGrid does not create a paid order merely because a user creates a free account.

12. Payments

Payments may be processed through ABA PayWay or another authorised payment provider.

CoachGrid may redirect or hand off part of the payment process to the payment provider.

A browser redirect, success page or customer-side message is not by itself proof that payment has been successfully completed.

CoachGrid may verify payment server-side before granting paid access, services or credits.

13. Refunds and Cancellations

Refunds and cancellations are governed by the CoachGrid Cancellation & Refund Policy and any additional terms displayed at checkout.

If a different seller is clearly identified at checkout, that seller's terms may also apply to the relevant transaction.

14. Acceptable Use

Users must not:

• Attempt unauthorised access
• Circumvent platform permissions
• Interfere with platform operation
• Abuse APIs or automated systems
• Commit payment fraud
• Manipulate credits or transaction records
• Upload malicious software
• Impersonate another person
• Harass other users
• Infringe intellectual-property rights
• Use CoachGrid for unlawful activity

CoachGrid may restrict activity reasonably believed to threaten users, infrastructure or platform integrity.

15. Platform Availability

CoachGrid may:

• Improve features
• Modify features
• Replace features
• Introduce new functionality
• Discontinue functionality

We aim to provide reliable access but do not guarantee uninterrupted or error-free operation.

Pilot, beta, preview or pre-commercial functionality may change more frequently than mature production services.

16. Suspension and Termination

CoachGrid may suspend or restrict an account where reasonably necessary for:

• Security
• Fraud prevention
• Non-payment
• Abuse
• Legal compliance
• Material breach of these Terms

Users may stop using CoachGrid at any time.

Any active paid-service rights, transaction history and legally required records may continue to be governed by applicable purchase terms and retention requirements.

17. Intellectual Property

CoachGrid software, branding, platform design and original platform content are owned by or licensed to Benny.Q IT AND MARKETING unless otherwise stated.

These Terms do not transfer ownership of CoachGrid intellectual property to users.

Coach-owned methodologies, templates or content remain subject to the ownership and licensing terms applicable to those materials.

18. No Guaranteed Outcomes

CoachGrid does not guarantee:

• Weight loss
• Muscle gain
• Athletic performance
• Medical outcomes
• Coaching-business revenue
• Client acquisition
• Gym or merchant revenue
• Financial returns

Results depend on many factors outside CoachGrid's control.

19. Limitation of Liability

To the maximum extent permitted by applicable law, CoachGrid and Benny.Q IT AND MARKETING are not liable for indirect, incidental, special or consequential losses arising from use of the platform.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

20. Indemnity for Business Users

Where permitted by law, a coach, gym, merchant or business user is responsible for claims arising from that user's own:

• Services
• Content
• Professional conduct
• Products
• Unlawful activity
• Violation of third-party rights

This does not apply where the claim results from CoachGrid's own unlawful conduct.

21. Changes to These Terms

CoachGrid may update these Terms as the platform evolves.

The current version will be published with an updated effective date.

Where appropriate, users may be asked to accept materially revised Terms before continuing to use affected services.

22. Governing Law

These Terms are governed by the laws applicable to Benny.Q IT AND MARKETING in Cambodia, subject to mandatory consumer rights that may apply to a user in another jurisdiction.
